1. Introduction

Spopli (“Company,” “we,” “our,” or “us”) provides services including but not limited to Odoo ERP implementation, digital marketing, web development, and IT consulting. These Terms apply to all clients, partners, and visitors who use or access our services.

2. Scope of Services

Our offerings include:

• Odoo ERP Implementation, Customization & Support

• Website Design & Development

• E-commerce Solutions

• SEO & Digital Marketing (SMM, PPC, Content Marketing)

• Branding & Graphic Design

All services are delivered based on mutually agreed project scopes, timelines, and deliverables documented in a formal agreement or Statement of Work (SOW).

3. Client Responsibilities

Clients agree to:

• Provide accurate and timely information required for project execution

• Maintain communication and respond to feedback loops

• Use our services in compliance with all applicable laws

Clients must not misuse, resell, or attempt to compromise the security of our software, systems, or service platform.

4. Access and Accounts

Certain services may require login credentials or API access. Clients are responsible for keeping their accounts secure and notifying us immediately of any breach or unauthorized access.

5. Intellectual Property

All deliverables, code, designs, and content produced by Spopli remain our intellectual property until the full payment is received. Clients retain ownership of their brand assets and proprietary content but grant us a limited license for project use.

6. Payment Terms

Unless otherwise stated in writing:

• 50% payment is required upfront to initiate the project

• Remaining 50% is due upon final delivery or milestone completion

• For monthly services, payment must be made in advance
  Late payments will incur a penalty of 20% of the invoice value and 2% monthly interest on the outstanding balance. Service suspension may occur in case of non-payment.

7. Confidentiality

Both parties shall maintain confidentiality of all sensitive business information exchanged during the engagement. This clause survives after project completion.

8. Third-Party Integrations

Spopli may utilize or integrate with third-party tools (e.g., Google, Meta, Shopify). We do not assume responsibility for issues related to these platforms.

9. Service Availability & Updates

While we strive for uninterrupted service, there may be downtimes due to maintenance or upgrades. We reserve the right to modify or discontinue any service with prior notice.

10. Limitation of Liability

To the extent permitted by law, Spopli is not liable for any indirect or consequential losses. Total liability in any case will not exceed the amount paid by the client for the disputed service.

11. Cancellation & Refunds

Project cancellations must be communicated in writing. Any refund or compensation is subject to the scope of work completed and will follow our Cancellation & Refund Policy.

12. Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be subject to the jurisdiction of the courts in Dhule, Maharashtra, India.

13. Updates to Terms

We reserve the right to update these Terms at any time. Continued use of our services after updates constitutes acceptance of the revised Terms.
